กCompany types
In Japan there are 2 types of limited liability companies, one of which is Kabushiki Company and another is Goudou Company. In Kabushiki Company, right of vote and dividend must be decided by amount of investing money, so the more money a person invests, the more right of vote and dividend the person have. On the other hand in Goudou Company how much of dividend and right of vote an investor can have can be decided by the investors freely.
Goudou company is suitable for small business and Kabushiki Company is for big business. But most small business chooses Kabusiki Company to gain credibility by making it look bigger.

กRegulations for company set-up
At least one representative needs to be a resident of Japan for company set-up. But there are no legal regulations in particular for foreigners to set up companies in Japan.

กProcess for company set-up

1. Creating and certificating articles of incorporation
For Kabushiki Company articles of incorporation need to be certificated by notary public. For the certification, the seal registration certificates of incorporators are necessary. Foreigners who are not residents of Japan need to submit the seal registration certificate or signature certificate issued by the authority of their country.
For Godou Company the seal registration certificates are not necessary.

2. Investing capital money
Capital money needs to be put into the Japanese bank account of an incorporator for Kabushiki Company and a representative for Godou Company respectively. So one of the incorporators or representatives needs to be a resident of Japan.
3. Submitting the documents to Legal Affairs Bureau
At least one of the representative needs to be a resident of Japan.
The representative needs to submit his/her own seal registration certificates. For Kabushiki Company without board of directors, not only representatives but also all other directors need to submit their own seal registration certificates. Foreigners who are not residents of Japan need to submit their own seal registration certificate or signature certificate issued by the authority of their own country.

The easiest way for foreigners who are not residents of Japan is Goudoou Company because they donft need to prepare their own seal registration certificates or signature certification if choosing an resident of Japan as one of the representatives.


